我方拟转让所持有标的资产，并****交易所（以下简称“联交所”）公开披露资产转让信息和组织交易活动，依照公开、公平、公正和诚信的原则作如下承诺：
（1）本次转让是我方真实意思表示，转让标的权属清晰，除已披露的事项外，我方对该资产拥有完全的处置权且不存在法律法规禁止或限制交易的情形；对于设定担保物权的资产转让，符合《中华人民**国民法典》等有关法律法规规定；
（2）本次转让已履行了相应程序，经过有效的内部决策，并获得相应批准；
（3）我方所提交的转让申请及相关材料真实、完整、准确、合法、有效，不存在虚假记载、误导性陈述或重大遗漏；
（4）我方在交易过程中自愿遵守有关法律法规和联交所相关交易规则及规定，恪守转让公告约定，按照相关要求履行我方义务；
（5）我方已认真考虑本次转让行为可能导致的企业经营、行业、市场、政策以及其他不可预计的各项风险因素，愿意自行承担可能存在的一切交易风险。

The intended transferee, with a full understanding of the transfer subject matter, shall submit the transfer application materials and a transaction deposit of RMB 14.2 million (or equivalent in US dollars) to the designated bank account of SUAEE before the expiration of the listing period (before 17:30 on the expiration date, subject to the time of receipt), which shall be deemed as the confirmation of the intended transferee's commitment to accept the transaction conditions and transfer the transfer subject matter in the "Application for Property Rights Transfer", and become a bidder for the transfer subject matter. If the intended transferee fails to pay the transaction deposit on time, it shall be deemed as giving up the qualification for transfer. If the bidder is identified as the transferee and there is no violation or breach of contract, the transaction deposit shall be returned to the transferee in its original amount upon receipt of a written notice from the transferor and issuance of an asset trading certificate by the SUAEE. If the bidder has not been identified as the transferee and there is no violation or breach of contract, the transaction deposit paid by them will be refunded in full after the transferee is identified. 2、信息发布期满，如只征集到一个符合条件的竞买人递交受让申请材料及交易保证金的，则采取协议转让方式成交。采用协议方式转让，竞买人应当以不低于转让底价的价格受让转让标的，并****交易所的通知要求在规定时限内通过网络竞价平台进行有效报价，报价高于或等于转让底价的，则该报价成为受让价格，竞买人被确定为受让方后，应在25个工作日内与转让方签订资产交易合同。信息发布期满，如征集到两个及以上符合条件的竞买人，采取网络竞价（多次报价）方式确定受让方和受让价格。竞买人被确定为受让方后，交易双方应按照竞价实施方案的要求签订资产交易合同。 2. At the end of the information release period, if only one eligible bidder is collected to submit the application materials for transfer and transaction deposit, the agreement transfer method will be adopted for the transaction. The transfer shall be made by agreement, and the bidder shall acquire the transfer subject matter at a price not lower than the transfer base price, and shall make effective quotations through the online bidding platform within the prescribed time limit in accordance with the notification requirements of the SUAEE. If the quotation is higher than or equal to the transfer base price, it shall become the transfer price. After being determined as the transferee, the bidder shall sign an asset transaction contract with the transferor within 25 business days. At the end of the information release period, if two or more eligible bidders are recruited, the transferee and the transfer price will be determined through online bidding (multiple quotations). After the bidder is identified as the transferee, both parties of the transaction should sign an asset transaction contract in accordance with the requirements of the bidding implementation plan. 3、本次资产交易价款采用一次性支付，受让方应在资产交易合同签订之日起5个工作日内支付定金人民币1420万元（或等值美元****银行账户，该定金在标的资产交割时转为交易价款的一部分。受让方应将除定金外的剩余交易价款在转让标的交割前****银行账户，最晚交割日为自资产交易合同签订之日起第90个自然日或双方另行约定的其他日期。除非出现以下情形，定金不予退还：飞机未能按照适航标准交付。 3. The price of this asset transaction shall be paid in a lump sum. The transferee shall pay a deposit of RMB 14.2 million (or its equivalent in US dollars) to the bank account designated by the transferor within 5 business days from the date of signing the asset transaction contract. The deposit shall be converted into a part of the transaction price upon the delivery of the underlying asset. The transferee shall pay the remaining transaction price, except for the deposit, to the designated bank account of the transferor before the delivery of the transfer subject matter. The latest delivery date shall be the 90th natural day from the date of signing the asset transaction contract or any other date agreed upon by both parties. The deposit will not be refunded unless the following circumstances occur: the aircraft is not delivered in accordance with airworthiness standards. 4、本项目交易保证金、定金和交易价款以人民币计价，可以人民币或美元支付。若以美元支付交易保证金、定金和交易价款，汇率取付款日前第3****银行发布的人民币美元汇率中间价。 4. The transaction margin, deposit, and transaction price of this project are denominated in RMB and can be paid in RMB or USD. If the transaction margin, deposit and transaction price are paid in US dollars, the exchange rate shall be the RMB central parity rate published by People’s Bank of China 3 business days before the payment. 5、为保护交易各方合法利益，转让方在此做出特别提示，意向受让方一旦递交受让申请材料且交纳交易保证金，即成为竞买人并对如下内容作出承诺：如竞买人存在以下任何一种情形，转让方可以以意向受让方交纳的交易保证金为限，在****交易所组织交易的相关服务费用后，依法依规向意向受让方主张相应的赔偿责任，****交易所将按照交易保证金相关规则处理。 1）只征集到一个符合条件的竞买人： ①****交易所通知的规定时限内，竞买人未****交易所网络竞价平台进行有效报价的； ②被确定为受让方后，未在25个工作日内与转让方签订资产交易合同的。 2）征集到两个及以上符合条件的竞买人： ①在网络竞价中竞买人未提交竞买文件的； ②在网络竞价中各竞买人均未有效报价的； ③竞买人通过网络竞价被确定为受让方后，未在25个工作日内与转让方签订资产交易合同的。 3）违反资产交易保证金的有关规定或其他违规违约情形的。 5. In order to protect the legitimate interests of all parties involved in the transaction, the transferor hereby makes a special reminder that once the intended transferee submits the transfer application materials and pays the transaction security deposit, it becomes a bidder and makes a commitment to the following: if the bidder has any of the following situations, the transferor may claim corresponding compensation liability from the intended transferee within the transaction security deposit paid by the intended transferee, after deducting the relevant service fees organized by the SUAEE. The SUAEE will handle it in accordance with the relevant rules of the transaction security deposit. 1) Only one eligible bidder will be recruited: ① If the bidder fails to make a valid quotation through the SUAEE 's online bidding platform within the prescribed time limit notified by the SUAEE; ② Failure to sign an asset transaction contract with the transferor within 25 business days after being identified as the transferee. 2) Recruit two or more eligible bidders: ① Bidders who fail to submit bidding documents in online bidding; ② In online bidding, no bidder has provided a valid quote; ③ If the bidder is determined as the transferee through online bidding and fails to sign an asset transaction contract with the transferor within 25 business days. 3) Violation of relevant regulations on asset trading margin or other violations and breaches. 6、转让方对所提供文件的真实性负责，但不保证飞机本身可能存在超出文件描述范围的损伤或缺陷。受让方应在尽职调查时对飞机状态进行相应确认，受让后出现的问题，转让方不做任何承诺，并不承担额外的补偿义务。在受让方签署接收资产证明前，转让方对标的资产具有善良保管义务。交割日按照标的资产现状交付。 6. The transferor is responsible for the authenticity of the documents provided, but does not guarantee that the aircraft itself may have damages or defects beyond the scope described in the documents. The transferee shall confirm the status of the aircraft during due diligence. The transferor shall not make any commitments or assume any additional compensation obligations for any problems that arise after the transfer. Before the transferee signs the certificate of acceptance of the assets, the transferor has a good faith custody obligation towards the underlying assets. The delivery date shall be based on the current status of the underlying asset. 7、交付检安排：在签订资产交易合同后，受让方有权进行必要的购机检查，检查级别为一般目视检查（GVI）或取得转让方同意的其他检查项目，其费用由受让方承担。 7. Delivery inspection arrangement: After signing the asset transaction contract, the transferee has the right to conduct necessary purchase inspections, with inspection levels of general visual inspection (GVI) or other inspection items approved by the transferor, and the cost shall be borne by the transferee. 8、交付地点安排：**，如需调机至其他地方交付，调机费由受让方承担。 8. Delivery location arrangement: Tianjin. If it is necessary to transfer the machine to another location for delivery, the transfer fee shall be borne by the transferee. 9、除企业所得税和转让方印花税应由转让方承担以外，本次转让标的过程中所涉及的税费及相关费用由受让方承担。 9. Except for the corporate income tax and the transferor's stamp duty, which should be borne by the transferor, the taxes and related expenses involved in the transfer of the subject matter shall be borne by the transferee. 10、受让方应在飞机交付前将飞机交易价款对应的增值税以及其他任何税费（如有）一次性支付至转让方。 10. The transferee shall pay the value-added tax and any other taxes (if any) corresponding to the transaction price of the aircraft to the transferor in a lump sum before the delivery of the aircraft. 11、本项目披露公告期即为尽职调查期，意向受让方一旦递交受让申请材料并且交纳交易保证金后，即视为已详细阅读并完全认可本次转让项目所涉资产评估报****交易所备查文件所披露内容以及已完成对本项目的全部尽职调查，并自愿接受全部资产转让公告之内容，已完全了解与认可转让标的及相关交易条件、约定，自愿接受转让标的的全部现状及瑕疵，并愿意承担一切责任与风险，决定受让转让标的，一旦递交受让申请，不可撤销。 11. The disclosure announcement period of this project is the due diligence period. Once the intended transferee submits the transfer application materials and pays the transaction deposit, it shall be deemed that they have carefully read and fully recognized the asset evaluation and the SUAEE 's reference documents disclosed in this transfer project, as well as completed all due diligence investigations on this project. They voluntarily accept all the contents of the asset transfer announcement, fully understand and recognize the transfer subject and related transaction conditions and agreements, voluntarily accept all the current status and defects of the transfer subject, and are willing to bear all responsibilities and risks. Once the transfer application is submitted, it is irrevocable. 12、受让方应自行承担费用投保的险种包括但不限于限额不低于约定金额的第三方责任险、航空承运人综合责任险，并应确保在交付日后的两年内，仍将转让方、转让方关于标的资产的融资方/信托方（如有）及其各自的管理人员、董事、雇员、代理人、关联人、继承人及受让人继续作为第三方责任险、航空承运人综合责任险的附加被保险人，并及时向转让方提供满足上述要求的保险凭证。 12. The transferee shall bear the cost of purchasing insurance, including but not limited to third-party liability insurance and air carrier comprehensive liability insurance with a limit not less than the agreed amount. The transferee shall ensure that within two years after the delivery date, the transferor, the transferor's financing/trust party (if any) related to the subject assets, and their respective managers, directors, employees, agents, affiliates, heirs, and transferees shall continue to be additional insureds of third-party liability insurance and air carrier comprehensive liability insurance, and shall promptly provide the transferor with insurance certificates that meet the above requirements. 13、受让方按适用法律法规的要求就以下事项独自承担责任及相关费用： 1)交付后对飞机进行权利登记、飞机国籍登记证、飞机电台执照等变更； 2)交付后飞机的运营、保险、维护、进出口（如有）等一切事宜。 13. The transferee shall bear sole responsibility and related expenses for the following matters in accordance with applicable laws and regulations: 1) After delivery, make changes to the aircraft's rights registration, aircraft nationality registration certificate, aircraft radio license, etc; 2) All matters related to the operation, insurance, maintenance, import and export (if any) of the aircraft after delivery. 14、意向受让方递交受让申请的同时，须递交如下书面承诺内容： 1）我方已详细阅读并完全认可本次转让项目所涉资产评估报****交易所备查文件所披露内容以及已完成对本项目的全部尽职调查，并自愿接受全部资产转让公告之内容，我方已完全了解与认可转让标的及相关交易条件、约定，自愿接受转让标的的全部现状及瑕疵，并愿意承担一切责任与风险，决定受让转让标的。我方成为受让方后，不得以不了解转让标的及转让标的的瑕疵等为由拒绝签订资产交易合同或拒付价款，否则视为违约。 2）我方已自行对照有关规定和要求，对自身受让资格条件进行了核查，并在自行咨询专业人士、相关方和监管机构的基础上判断已符合转让标的的受让资格，决定受让转让标的，自行承担由此产生的全部后果，包括费用、风险和损失。 3）我方同意，在签订资产交易合同后，我方可进行必要的购机检查，检查级别为一般目视检查（GVI）或取得转让方同意的其他检查项目，其费用由我方承担。 4）我方同意，除企业所得税和转让方印花税应由转让方承担以外，本次转让标的过程中所涉及的税费及相关费用由我方承担。 5）我方同意，交付后对标的资产进行权利登记、飞机国籍登记证、飞机电台执照等变更，以及交付后对标的资产的运营、保险、维护、进出口（如有）等一切事宜，均由我方独自承担责任及相关费用。 6）以上承诺不可撤销。 14. The intended transferee shall submit the following written commitment when submitting the transfer application: 1) We have carefully read and fully recognized the asset evaluation and the disclosure of the SUAEE 's reference documents related to this transfer project, as well as completed all due diligence investigations on this project. We have fully understood and recognized the transfer subject matter and related transaction conditions and agreements, voluntarily accept all the current status and defects of the transfer subject matter, and are willing to bear all responsibilities and risks. We have decided to acquire the transfer subject matter. After becoming the transferee, we shall not refuse to sign the asset transaction contract or refuse to pay the price on the grounds of not understanding the transfer subject matter and its defects, otherwise it shall be deemed as a breach of contract. 2) We have checked our own eligibility for the transfer of the subject matter in accordance with relevant regulations and requirements, and based on consulting professionals, relevant parties, and regulatory agencies, have determined that we meet the eligibility criteria for the transfer of the subject matter. We have decided to accept the transfer of the subject matter and will bear all consequences arising therefrom, including costs, risks, and losses. 3) We agree that after signing the asset transaction contract, we may conduct necessary purchase inspections at the level of General Visual Inspection (GVI) or other inspection items agreed upon by the transferor, and the costs shall be borne by us. 4) We agree that, except for the corporate income tax and the transferor's stamp duty, which should be borne by the transferor, all taxes and related expenses involved in the transfer of the subject matter shall be borne by us. 5) We agree that after delivery, all matters related to the registration of rights, aircraft nationality registration certificate, aircraft radio license and other changes of the target assets, as well as the operation, insurance, maintenance, import and export (if any) of the target assets after delivery, shall be solely borne by us and related expenses. 6) All commitments are irrevocable. | |
